Dodd-Frank Webcast
The recent passage of the Dodd-Frank Reform Act includes sweeping regulatory changes and imposes substantial new executive compensation and disclosure rules on US public companies. Many of these rules, and the SEC and stock exchange rules they will spawn, are expected to be in effect for the 2011 proxy season. US public companies and their Boards and Compensation Committees now need to begin to understand these rules, the SEC and stock exchange processes for adopting implementation rules, the open issues and the planning opportunities, in order to govern their 2010 conduct in view of their application next year.
This program will present a discussion addressing select provisions of the Act, the latest word on the prospects for the timing and content of SEC and stock exchange implementation rules and practical guidance on what companies, Boards and Compensation Committees should be doing now to prepare for the new rules.
Select requirements of the Act and their implications which will be discussed by the panel include:
• Say on Pay
• Calculation of Pay Module
• Clawbacks

IPO’s are Coming Back! HR’s perspective in preparing your company for going public.
With the rebound of the stock market and as privately held companies look to raise capital (or investors towards an exit strategy), there is a increase in the number of companies filing their S-1s with the intent of going public. As a company approaches their public offering, companies implement some significant changes to the culture, design and delivery of their compensation and total rewards programs. This session will include a panel of companies that are in the process of going public and/or have gone public within the previous 12 months. These panelists will share what changes in company culture, HR programs, process and total rewards program design transpired during the process.

Comp & Benefits Asso of San Diego – Ken Wechsler to run a panel on: Managing Human Capital / Compensation Programs During Challenging Economic Times
Compensation programs, when properly designed, are a key tool in assisting an organization to attract, retain and motivate talent. Motivating and attracting employees typically is the primary focus of traditional compensation programs. Yet, during turbulent times such as we’re currently experiencing, losing your talent becomes more of a possibility for a number of reasons. And the cost of replacing that talent often exceeds the cost of retaining them. Therefore, employers need to shift the focus of their compensation programs to retaining talent. This session will highlight three local employers that have implemented a variety of strategies aimed at addressing employee retention & motivation in light of the economy. In addition, we will review the results of a recent survey identifying how local employers are modifying their Human Capital programs during the current economic environment. Companies to present on the panel include Neurocrine Biosciences and Pechanga
